End User License Agreement (EULA)

This End User License Agreement ("Agreement") outlines the terms and conditions for the use of software products developed and provided by icanstudioz app solutions LLP ("Licensor"), hereinafter referred to as the "Licensed Software".

By (i) completing the electronic order or download of the Licensed Software from an authorized source, or (ii) installing the Licensed Software from media provided via alternative means, you ("Licensee") acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to the terms, please discontinue the installation or use of the Licensed Software immediately.

icanstudioz grants you a non-exclusive, non-transferable license to use the Licensed Software for evaluation purposes for a period of thirty (30) days from the date of download or installation ("Evaluation Period"). During this period, you may use the software solely for internal testing and evaluation. Upon expiration, you must discontinue use and delete all copies of the Licensed Software unless a commercial license is purchased. No rights are granted for commercial or production use under this license.

(a) Initial License Grant

Upon purchasing the Licensed Software, icanstudioz grants you a paid, non-exclusive, non-transferable, node-locked license to use the Licensed Software and accompanying documentation for a period of one (1) year from the activation date. "Node-locked" means the software may be installed and used on a single device only.

(b) Annual License Renewal (ALR)

To continue usage beyond the initial term, the license must be renewed annually at least ten (10) days prior to expiration. Failure to renew may result in license suspension and applicable late fees.

(c) Data Collection

During registration and usage, icanstudioz may collect your contact details, business name, and address for the purpose of providing service and support. You agree that the information provided is accurate and up to date.

The Licensed Software may include components developed by third parties. All such third-party software remains the property of its respective owners. Redistribution of these components is prohibited unless explicitly permitted by the third-party terms.

You agree not to:

• Install or use the Licensed Software on more than one machine unless expressly permitted.
• Copy (except for one backup), modify, reverse-engineer, decompile, or disassemble the Licensed Software.
• Remove copyright or proprietary notices.
• Rent, lease, sublicense, or distribute the software.
• Permit third-party access or usage of the software.

Support services include access to documentation, email support, remote sessions, chat assistance, and product updates. These services are available only with an active license under the Annual License Renewal program. Major version upgrades may require a separate upgrade fee.

All intellectual property rights in the Licensed Software remain the exclusive property of icanstudioz. This Agreement does not constitute a sale and does not grant you any rights to the software other than those explicitly outlined herein.

icanstudioz reserves the right to audit your usage of the Licensed Software with a minimum of seven (7) days' written notice during normal business hours at your location.

You agree to maintain the confidentiality of the Licensed Software and prevent unauthorized disclosure. Employees or agents with access to the software must be made aware of and adhere to these confidentiality obligations.

The Licensed Software is provided "as is" without warranties of any kind. icanstudioz makes no guarantees regarding performance or fitness for a particular purpose. You assume full responsibility for the use and outcomes of the software, including but not limited to data loss or service interruption.

icanstudioz shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or data loss. Liability is strictly limited to the amount paid for the Licensed Software.

icanstudioz agrees to defend and indemnify you against any third-party claims asserting that the Licensed Software infringes upon valid Indian intellectual property rights, provided that:

• You notify icanstudioz promptly of such claims.
• You cooperate in the defense.
• icanstudioz retains control of the legal proceedings and settlement.

This indemnity does not apply if the claim results from your modifications, combination with third-party software, or failure to implement updates provided by icanstudioz.

This Agreement remains effective until terminated by either party. You may terminate at any time by uninstalling and destroying all copies. icanstudioz may terminate this Agreement upon breach, with a thirty (30) day notice and failure to cure. Upon termination, all rights to use the software are revoked, and all copies must be deleted or returned.

Provisions related to confidentiality, ownership, and liability limitations will survive termination.

• This Agreement is governed by the laws of India.
• It constitutes the entire agreement between the parties.
• If any provision is held unenforceable, the remainder will remain in effect.
• You may not export the Licensed Software in violation of Indian export laws.
